Tidyly Terms of Service
Tidyly is operated by ABK Digital (ABN 73 674 188 619) in New South Wales, Australia.
By creating an account, using Tidyly features, publishing Scheduling, inviting team members, connecting third-party services, enabling customer payments, sending payment links, or purchasing a subscription, you agree to these Terms.
If you do not agree with these Terms, do not use the platform.
Platform Operator and Acceptance
These Terms apply to all use of Tidyly, including account holders, invited team members, businesses, and people who visit public pages or submit enquiries.
If you use Tidyly for a business or organisation, you are responsible for ensuring anyone who uses the service on your behalf complies with these Terms.
Eligibility and Business Responsibility
You must have legal capacity to enter into a binding contract to use Tidyly. If you use Tidyly for a business, you confirm you are authorised to act for that business.
- Provide accurate and current business information, including applicable business and tax registration details and contact details where required.
- Promptly update details that become inaccurate, outdated, or misleading.
- Ensure your users comply with applicable consumer, privacy, anti-spam, advertising, payment, tax, and record-keeping laws.
Accounts, Authentication, and Security
Tidyly uses Firebase Authentication and may provide account access through email/password sign-in, Google sign-in, and temporary anonymous onboarding sessions that can later be linked to a registered account.
You are responsible for activity under your account and for keeping credentials, session access, and connected devices secure.
- Keep credentials confidential and restrict account access to authorised users only.
- Notify us promptly if you suspect unauthorised access or account compromise.
- Do not attempt to bypass authentication, role permissions, or other access controls.
Team Access and Roles
Tidyly includes team features, including invitations, role-based permissions, and shared business workspaces.
The account owner and authorised admins are responsible for inviting users, setting role permissions, and removing access when no longer required.
You are responsible for acts and omissions of users you authorise to access your workspace.
Subscription, Fees, and Billing
Tidyly is sold as a recurring subscription with monthly and annual billing options. Pricing and plan details shown at checkout form part of these Terms.
- Subscriptions renew automatically until cancelled.
- A 7-day trial may be offered to eligible first-time subscribers, as stated at checkout.
- An active paid subscription may be required for first-time Scheduling publication and for ongoing access to paid platform features.
- You can manage cancellation and billing details through the Stripe billing portal linked from your dashboard.
- Customer payments collected by a business through Stripe Connect are separate from Tidyly subscription fees.
- Tidyly does not currently charge an application fee, card fee, or per-booking platform fee on connected customer payments.
- We may update plans or pricing prospectively and will provide notice where required by law.
- Fees are non-refundable unless required by Australian Consumer Law or another non-excludable law.
Stripe Services and Connected Customer Payments
Stripe provides payment processing and billing portal services for Tidyly subscriptions. By paying through Tidyly, you also agree to Stripe's terms and privacy policy as they apply to payment processing.
Tidyly does not store full card numbers or card security codes.
Entitlements may be updated when Stripe events are received and reconciled, including payment success, failed renewal, subscription cancellation, and plan changes.
Tidyly may also allow eligible businesses to connect a Stripe account through Stripe Connect so customers can pay the business through booking-related checkout sessions, invoice payment links, or payment emails generated from the dashboard.
A business must complete Stripe onboarding and remain in good standing with Stripe before customer payments can be accepted. Stripe may approve, restrict, pause, or reject account capabilities, payouts, refunds, disputes, or transactions under Stripe's own rules and compliance processes.
Payments from customers for cleaning services are direct payments to the relevant business using its connected Stripe account. The business is the seller and service provider. Tidyly provides the software workflow and is not the cleaner, escrow provider, bank, lender, or financial adviser.
Stripe deducts its payment processing fees from the connected business account. Tidyly does not pay those processing fees and does not currently deduct an application fee or add a card fee to the customer total.
Businesses must set one clear customer price that includes their normal costs of doing business, including expected payment costs where they choose to recover them through general pricing. Tidyly does not provide a separate card surcharge field. Customers using Tidyly checkout are shown the amount due before they pay.
- You are responsible for the services you sell, the accuracy and display of prices, invoice details, tax treatment, descriptions, cancellation terms, refund handling, dispute responses, and customer support.
- You authorise Tidyly to create and reconcile Stripe Checkout Sessions, payment links, payment status updates, refunds or dispute metadata where supported, and related records for your connected account.
- You must not use connected payments for prohibited, deceptive, fraudulent, unlawful, or high-risk activity.
- Stripe pricing can differ by payment method, card origin, currency conversion, connected account pricing plan, and other Stripe services. The business must check its Stripe account for its actual fees and payout amount.
- Stripe fees, payout timing, reserve requirements, disputes, chargebacks, refunds, failed payments, and compliance checks are governed by Stripe and may affect the amount the business receives.
- If Tidyly introduces an application, platform, or per-payment service fee in future, we will update the applicable pricing and terms and give notice where required before it applies.
Do not enable connected payments unless your business details, Stripe onboarding information, bank account, tax settings, service descriptions, prices, and refund process are accurate and authorised.
6A. Tidyly Partner Program
The Tidyly Partner Program is available to eligible cleaning-business account owners who maintain an active paid Tidyly subscription and a connected Stripe account that is in good standing and capable of receiving partner transfers and payouts.
An eligible business that accepts these Partner Program terms is activated immediately, receives a unique public partner link, and may earn commission when a new cleaning business attributed to that link becomes and remains a paying Tidyly customer.
- The standard commission is 20% of Tidyly subscription fees actually collected from an eligible referred customer during that customer's first 12 paid months, capped at 20% of that customer's local annual Tidyly plan price.
- A partner link does not discount the referred customer's Tidyly subscription.
- Attribution uses the first valid partner link visit within a 30-day window and is locked when the new business signs up. Self-referrals, existing-customer referrals, duplicate attribution, and manipulated attribution are not eligible.
- Clicks, trials, sign-ups, or failed payments do not earn commission. Commission is recorded only after Stripe confirms a successful subscription invoice payment.
- Commission is initially subject to a 30-day refund and fraud hold. Refunds, reversals, disputes, credits, duplicate payments, fraud, or billing corrections may reduce pending earnings or create an adjustment against a future payout.
- Available commission is ordinarily grouped into a monthly transfer to the partner's existing connected Stripe account. Stripe processing, platform-balance availability, verification, reserves, and compliance reviews can delay a transfer.
- Partner status and new commission eligibility require the partner's own Tidyly subscription to remain active and in good standing.
- If the partner's Stripe connection, transfer capability, or payout capability becomes inactive, restricted, or disconnected, amounts are unavailable and no payout is owed for the duration of that condition. Amounts retained in the ledger may become payable again only after eligibility is restored and subject to these Terms.
- Partners are responsible for their own tax, accounting, disclosure, advertising, and record-keeping obligations arising from partner earnings and recommendations.
We may suspend attribution, commission, or payouts for suspected fraud, misleading promotion, spam, self-referral, account duplication, payment abuse, legal risk, or breach of these Terms. We may correct calculation or attribution errors and recover overpayments by offsetting future earnings or using another lawful method.
Public Scheduling and Directory
Published Scheduling pages are publicly accessible and may be indexed by search engines. You are responsible for the business, service, pricing, availability, and contact information you choose to publish.
Where enabled by Tidyly, eligible published businesses may be listed in public discovery surfaces such as directory pages.
We may change, suspend, or remove features or public Scheduling availability where necessary for safety, legal compliance, product integrity, non-payment, or operational reasons.
Leads, CRM, and Customer Workflows
Tidyly routes enquiries from public pages and related channels into lead and CRM records, including lead status, outcomes, activities, contacts, tasks, pipeline stages, and recovery workflows.
You are responsible for how you use customer information, including compliance with privacy, direct marketing, and telecommunications laws that apply to your communications and service operations.
Tidyly does not guarantee lead volume, lead quality, conversion rates, business outcomes, or search ranking position.
Messaging and Communications
Tidyly may send or route operational email messages as part of lead, reply, reminder, notification, and customer service workflows.
You are responsible for message content you generate, recipient permissions, and compliance with applicable communications and anti-spam laws.
Third-party delivery providers may delay, filter, or fail message delivery. We do not guarantee delivery timing or inbox placement.
Scheduling Requests
Tidyly may include public scheduling features that allow customers to request preferred dates, time windows, property details, access notes, and related booking context.
You are responsible for confirming availability, managing assigned team details, and ensuring the final booking details are accurate.
Public scheduling requests are not confirmed bookings until you accept or confirm them with the customer.
If payment is requested or collected in connection with a scheduling workflow, the customer is shown the amount due before payment. You remain responsible for the displayed price, job details, service, cancellations, refunds, and customer issues.
Quotes, Invoices, and Document Workflows
Tidyly may provide tools to create and manage quotes, invoices, scheduling records, and customer-facing documents (including email and PDF delivery).
Where Stripe Connect is enabled, Tidyly may allow invoices or related customer documents to include a Stripe-hosted payment link or checkout flow for the connected business.
You are responsible for accuracy of amounts, tax treatment, legal wording, and record-keeping obligations in documents you issue through the platform.
Tidyly does not provide legal, tax, or accounting advice.
Your Content and Licence to Operate the Service
You retain ownership of content you provide to Tidyly.
You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, and distribute your content as required to operate, secure, and improve Tidyly.
Acceptable Use
You must not use Tidyly for unlawful, abusive, deceptive, or harmful conduct.
- No false business identity, impersonation, or fraudulent business or tax registration details.
- No unlawful or infringing content.
- No security abuse, malware, scraping at abusive scale, or unauthorised access attempts.
- No deceptive lead collection, unauthorised tracking, or misleading representations to customers.
- No misuse of messaging, webhook, or integration endpoints for spam, harassment, or fraud.
- No payment links, invoices, bookings, or checkout flows that misstate the service, price, taxes, recipient, refund terms, or customer obligation.
Third-Party Services and External Links
Tidyly depends on third-party services including Google/Firebase infrastructure, Stripe, Stripe Connect, Resend, Google APIs, and analytics services. We are not responsible for outages or acts of third-party providers beyond our reasonable control.
Public scheduling pages may include links to third-party websites. We are not responsible for content or practices on external websites.
Platform Intellectual Property
Tidyly software, branding, design assets, and platform materials (excluding your content) are owned by us or our licensors and are protected by applicable intellectual property laws.
You may use Tidyly only as permitted by these Terms and must not copy, reverse engineer, or exploit platform code or brand assets without permission.
Suspension and Termination
We may suspend or terminate access where there is non-payment, suspected fraud, legal risk, safety risk, infringement, or breach of these Terms.
We may remove or restrict access to public Scheduling pages, content, integrations, sessions, communications, or other platform functionality while investigating potential breaches or security incidents.
To request account closure support, contact support@tidyly.au. Certain records may be retained where legally required or reasonably needed for fraud prevention, security, accounting, tax, and dispute resolution.
Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies rights or remedies that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
Where a statutory guarantee applies, our liability is limited to the extent permitted by law.
Disclaimers
To the extent permitted by law, Tidyly is provided on an as-is and as-available basis. We do not promise uninterrupted availability, error-free operation, or specific outcomes including lead volume, conversion rates, customer response rates, or revenue growth.
Limitation of Liability
To the extent permitted by law, we are not liable for indirect or consequential losses, including lost profits, lost opportunities, or loss of data arising from use of Tidyly.
Where liability cannot be excluded, our liability is limited to the remedies permitted by applicable law. If a limitation amount is permitted, our aggregate liability for claims connected to paid services is limited to fees paid for Tidyly in the 12 months before the event giving rise to the claim.
Indemnity
You indemnify us against reasonable loss, damage, and costs resulting from your unlawful use of Tidyly, your breach of these Terms, or your infringement of third-party rights.
Governing Law and Jurisdiction
These Terms are governed by the laws of New South Wales and the Commonwealth of Australia.
You and we submit to the non-exclusive jurisdiction of the courts of New South Wales for disputes arising out of or in connection with these Terms.
Changes to These Terms
We may update these Terms from time to time. If we make material updates, we will update the Last Updated date and provide notice where required by law.
